Article I 9 {" @+ s; \5 }3 w/ J/ L5 b
1. This Convention shall apply to the recognition and enforcement of arbitral awards made in the territory of a State other than the State where the recognition and enforcement of such awards are sought, and arising out of differences between persons, whether physical or legal. It shall also apply to arbitral awards not considered as domestic awards in the State where their recognition and enforcement are sought.
& J% s6 m, r. K: j: L: m1 p2. The term "arbitral awards" shall include not only awards made by arbitrators appointed for each case but also those made by permanent arbitral bodies to which the parties have submitted. $ |) O/ H$ g+ G
3. When signing, ratifying or acceding to this Convention, or notifying extension under Article X hereof, any State may on the basis of reciprocity declare that it will apply the Convention to the recognition and enforcement of awards made only in the territory of another Contracting State. It may also declare that it will apply the Convention only to differences arising out of legal relationships, whether contractual or not, which are considered as commercial under the national law of the State making such declaration.

& N- c) D" t) A+ O/ O: \1. Each Contracting State shall recognize an agreement in writing under which the parties undertake to submit to arbitration all or any differences which have arisen or which may arise between them in respect of a defined legal relationship, whether contractua1 or not, concerning a subject matter capable of settlement by arbitration. 0 C( {0 c( c4 D1 i* Q
2. The term "agreement in writing" shall include an arbitral clause in a contract or an arbitration agreement, signed by the parties or contained in an exchange of letters or telegrams.

The court of a Contracting State, when seized of an action in a matter in respect of which the parties have made an agreement within the meaning of this Article, shall, at the request of one of the parties, refer the parties to arbitration, unless it finds that the said agreement is null and void, inoperative or incapable of being performed. Article III
5 n6 A. w* [1 n9 B. d3 ^Each Contracting State shall recognize arbitral awards as binding and enforce them in accordance with the rules of procedure of the territory where the award is relied upon, under the conditions laid down in the following Articles. There shall not be imposed substantially more onerous conditions or higher fees or charges on the recognition or enforcement of arbitral awards to which this Convention applies than are imposed on the recognition or enforcement of domestic arbitral awards. + R# N7 H+ E; \4 p2 i0 L* {
Article IV
. j" [3 q/ F  e1 j* v1. To obtain the recognition and enforcement mentioned in the preceding Article, the party applying for recognition and enforcement shall, at the time of the application, supply:
% A1 Q4 Q! F! B0 ^0 B5 s6 S(a) The duly authenticated original award or a duly certified copy thereof;
# K, [0 ]. q+ ?% u$ X" E& B; l1 T(b) The original agreement referred to in Article II or a duly certified copy thereof.

If the said award or agreement is not made in an official language of the country in which the award is relied upon, the party applying for recognition and enforcement of the award shall produce a translation of these documents into such language. The translation shall be certified by an official or sworn translator or by a diplomatic or consular agent. 6 A, b+ [7 [& J) v* ?+ j* W
Article V
& p) I# d5 @, p, q! p1.Recognition and enforcement of the award may be refused, at the request of the party against whom it is invoked, only if that party furnishes to the competent authority where the recognition and enforcement is sought, proof that:
- w% w6 [. e. j(a) The parties to the agreement referred to in Article II were, under the law applicable to them, under some incapacity, or the said agreement is not valid under the law to which the parties have subjected it or, failing any indication thereon, under the law of the country where the award was made; or # Z4 d1 [- O2 U
(b) The party against whom the award is invoked was not given proper notice of the appointment of the arbitrator or of the arbitration proceedings or was otherwise unable to present his case; or # ^9 ]* t. Z! {& E/ V( H
(c) The award deals with a difference not contemplated by or not falling within the terms of the submission to arbitration, or it contains decisions on matters beyond the scope of the submission to arbitration, provided that, if the decisions on matters submitted to arbitration can be separated from those not so submitted, that part of the award which contains decisions on matters submitted to arbitration may be recognized and enforced; or
* Z3 E+ u/ E1 b* u8 F5 E(d) The composition of the arbitral authority or the arbitral procedure was not in accordance with the agreement of the parties, or, failing such agreement, was not in accordance with the law of the country where the arbitration took place; or
  G% A* m9 y$ ?8 t' a(e) The award has not yet become binding, on the parties, or has been set aside or suspended by a competent authority of the country in which, or under the law of which, that award was made.# \1 }, ^2 I9 R# a* N$ Z5 N  B
2. Recognition and enforcement of an arbitral award may also be refused if the competent authority in the country where recognition and enforcement is sought finds that:
, C* s# q" ]) L, Y0 L(a) The subject matter of the difference is not capable of settlement by arbitration under the law of that country; or 7 y4 E  ~" x' o6 r2 k, p# v* }2 ]) l: I
(b) The recognition or enforcement of the award would be contrary to the public policy of that country.

$ l, `- [8 A6 o: ~% Z/ blf an application for the setting, aside or suspension of the award has been made to a competent authority referred to in Article V (1) (e), the authority before which the award is sought to be relied upon may, if it considers it proper, adjourn the decision on the enforcement of the award and may also, on the application of the party claiming, enforcement of the award, order the other party to give suitable security. # g& H: o& L7 p/ ^
Article VII / E3 [. G6 S- _  G
1. The provisions of the present Convention shall not affect the validity of multilateral or bilateral agreements concerning the recognition and enforcement of arbitral awards entered into by the Contracting States nor deprive any interested party of any right he may have to avail himself of an arbitral award in the manner and to the extent allowed by the law or the treaties of the country where such award is sought to be relied upon. 7 v3 W3 l3 E4 I3 c+ t' }# u$ e
2. The Geneva Protocol on Arbitration Clauses of 1923 and the Geneva Convention on the Execution of Foreign Arbitral Awards of 1927 shall cease to have effect between Contracting States on their becoming bound and to the extent that they become bound, by this convention.

: x' z! B4 A9 @  p$ d1. This Convention shall be open until 31 December 1958 for signature on behalf of any Member of the United Nations and also on behalf of any other State which is or hereafter becomes a member of any specialized agency of the United Nations, or which is or hereafter becomes a party to the Statute of the International Court of Justice, or any other State to which an invitation has been addressed by the General Assembly of the United Nations. ! |8 I" x5 T8 G, c; j1 j
2. This Convention shall be ratified and the instrument of ratification shall be deposited with the Secretary-General of the United Nations

1. This Convention shall be open for accession to all States referred to in Article VIII.
9 z6 y: U& d! o, [  k2 X$ t' `1 O2. Accession shall be effected by the deposit of an instrument of accession with the Secretary-General of the United Nations.
0 }" U! t. ~# iArticle X
- O- i2 u5 e( U; x1. Any State may, at the time of signature, ratification or accession, declare that this Convention shall extend to all or any of the territories for the international relations of which it is responsible. Such a declaration shall take effect when the Convention enters into force for the State concerned. ) }: I7 T; u" f& M
2. At any time thereafter any such extension shall be made by notification addressed to the Secretary-General of the United Nations and shall take effect as from the ninetieth day after the day of receipt by the Secretary-General of the United Nations of this notification, or as from the date of entry into force of the Convention for the State concerned, whichever is the later.

With respect to those territories to which this Convention is not extended at the time of signature, ratification or accession, each State concerned shall consider the possibility of taking the necessary steps in order to extend the application of this Convention to such territories, subject, where necessary for constitutional reasons, to the consent of the Governments of such territories

5 U/ ^5 x8 F! L! K7 mIn the case of a federal or non-unitary State, the following provisions shall apply: " q, A. @# b8 X) M1 @% V3 q. t
(a) With respect to those Articles of this Convention that come within the legislative jurisdiction of the federal authority, the obligations of the federal Government shall to this extent be the same as those of Contracting States which are not federal States;   n% s* D5 S" c, D' y3 E% a( l, o3 V6 _
(b) With respect to those Articles of this Convention that come within the legislative jurisdiction of constituent states or provinces which are not, under the constitutional system of the federation, bound to take legislative action, the federal Government shall bring such Articles with a favourable recommendation to the notice of the appropriate authorities of constituent states or provinces at the earliest possible moment; 7 N, _, g; J9 c4 \
(c) A federal State Party to this Convention shall, at the request of any other Contracting 9 G* d% O3 |. J6 b
State transmitted through the Secretary-General of the United Nations, supply a statement of the law and practice of the federation and its constituent units in regard to any particular provision of this Convention, showing the ex. tent to which effect has been given to that provision by legislative or other action.

! l' V* i" j: |4 a+ N% t1. This Convention shall come into force on the ninetieth day following the date of deposit of the third instrument of ratification or accession. 0 M/ q2 m8 m6 _% \
2. For each State ratifying or acceeding to this Convention after the deposit of the third instrument of ratification or accession, this Convention shall enter into force on the ninetieth day after deposit by such State of its instrument of ratification or accession. 0 z6 R! W2 z- x% I
Article XIII
4 p0 m- P/ {  c7 {1. Any Contracting State may denounce this Convention by a written notification to the Secretary-General of the United Nations. Denunciation shall take effect one year after the date of receipt of the notification by the Secretary-General.

Any State which has made a declaration or notification under Article X may, at any time thereafter, by notification to the Secretary-General of the United Nations, declare that this Convention shall cease to extend to the territory concerned one year after the date of the receipt of the notification by the Secretary-General.
6 t6 |5 N+ U# F3 O  F3. This Convention shall continue to be applicable to arbitral awards in respect of which recognition or enforcement proceedings have been instituted before the denunciation takes effect. * q  C0 {3 o  D
Article XIV
, r! G4 V) U, I& ]A Contracting State shall not be entitled to avail itself of the present Convention against other Contracting States except to the extent that it is itself bound to apply the Convention. / ?7 e- x& Y7 |# n, O
Article XV
- h. ], L3 n9 {! T) Y2 A$ S4 u9 v% k* Q' pThe Secretary-General of the United Nations shall notify the States contemplated in Article VIII of the following:
8 a. {" d' l9 y( I7 y% Q  @7 G: Z(a) Signatures and ratifications in accordance with Article VIII;
5 X! F. V' i" T$ c! l: X( I(b) Accessions in accordance with Article IX;
9 ?; F% `; X; F6 h+ G: A; H(c) Declarations and notifications under Articles I, X and XI;
6 ^# x; i% Z/ N/ q" y(d) The date upon which this Convention enters into force in accordance with Article XII;

1. This Convention, of which the Chinese, English, French, Russian and Spanish texts shall be equally authentic, shall be deposited in the archives of the United Nations. 6 ~0 }3 _3 W' s" c; ^/ d

  一、仲裁裁决,因自然人或法人间之争议而产生且在声请承认及执行地所在国以外之国家领土内作成者,其承认及执行适用本公约。本公约对于仲裁裁决经声请承认及执行地所在国认为非内国裁决者,亦适用之。
! z5 ~: d% g" F( l9 w$ h. Y  二、“仲裁裁决”一词不仅指专案选派之仲裁员所作裁决,亦指当事人提请仲裁之常设仲裁机关所作裁决。5 S) y& |$ C$ i' g
  三、任何国家得于签署、批准或加入本公约时,或于本公约第十条通知推广适用时,本交互原则声明该国适用本公约,以承认及执行在另一缔约国领土内作成之裁决为限。任何国家亦得声明,该国唯于争议起于法律关系,不论其为契约性质与否,而依提出声明国家之国内法认为系属商事关系者,始适用本公约。

3 [( j7 j; J7 z- U2 e8 C( I  一、当事人以书面协定承允彼此间所发生或可能发生之一切或任何争议,如关涉可以仲裁解决事项之确定法律关系,不论为契约性质与否,应提交仲裁时,各缔约国应承认此项协定。
* U% E! v" R& _% u: }1 L5 u5 f  二、称“书面协定”者,谓当事人所签订或在互换函电中所载明之契约仲裁条款或仲裁协定。
3 m1 F" T/ p+ y& C  三、当事人就诉讼事项订有本条所称之协定者,缔约国法院受理诉讼时应依当事人一造之请求,命当事人提交仲裁,但前述协定经法院认定无效、失效或不能实行者不在此限。7 w, R8 N( D* A) H; H3 c
  第三条3 ?) F- I* R/ l
  各缔约国应承认仲裁裁决具有拘束力,并依援引裁决地之程序规则及下列各条所载条件执行之。承认或执行适用本公约之仲裁裁决时,不得较承认或执行内国仲裁裁决附加过苛之条件或征收过多之费用。

  一、声请承认及执行之一造,为取得前条所称之承认及执行,应于声请时提具:% O$ D% W8 l, q# y
  (甲)原裁决之正本或其正式副本,7 X) ]0 j; ~7 [- s
  (乙)第二条所称协定之原本或其正式副本。
( u+ F- b: K8 A  二、倘前述裁决或协定所用文字非为援引裁决地所在国之正式文字,声请承认及执行裁决之一造应备具各该文件之此项文字译本。译本应由公设或宣誓之翻译员或外交或领事人员认证之。

4 K7 _. F9 U4 h4 E, p, |  一、裁决唯有于受裁决援用之一造向声请承认及执行地之主管机关提具证据证明有下列情形之一时,始得依该造之请求,拒予承认及执行:
5 U% L, x4 Y5 J3 z  (甲)第二条所称协定之当事人依对其适用之法律有某种无行为能力情形者,或该项协定依当事人作为协定准据之法律系属无效,或未指明以何法律为准时,依裁决地所在国法律系属无效者;3 A1 J* H/ ^! t
  (乙)受裁决援用之一造未接获关于指派仲裁员或仲裁程序之适当通知,或因他故,致未能申辩者;
" [" F, H6 N  k  (丙)裁决所处理之争议非为交付仲裁之标的或不在其条款之列,或裁决载有关于交付仲裁范围以外事项之决定者,但交付仲裁事项之决定可与未交付仲裁之事项划分时,裁决中关于交付仲裁事项之决定部分得予承认及执行;* C, X/ z. i/ V  P
  (丁)仲裁机关之组成或仲裁程序与各造间之协议不符,或无协议而与仲裁地所在国法律不符者;3 I/ e; x; \. L0 y( ^5 W
  (戊)裁决对各造尚无拘束力,或业经裁决地所在国或裁决所依据法律之国家之主管机关撤销或停止执行者。' k# u1 M& F6 b/ b5 I
  二、倘声请承认及执行地所在国之主管机关认定有下列情形之一,亦得拒不承认及执行仲裁裁决:

  倘裁决业经向第五条第一项(戊)款所称之主管机关声请撤销或停止执行,受理援引裁决案件之机关得于其认为适当时延缓关于执行裁决之决定,并得依请求执行一造之声请,命他造提供妥适之担保。

* \3 b2 f3 ], A1 P  一、本公约之规定不影响缔约国间所订关于承认及执行仲裁裁决之多边或双边协定之效力,亦不剥夺任何利害关系人可依援引裁决地所在国之法律或条约所认许之方式,在其许可范围内,援用仲裁裁决之任何权利。3 e, r. _2 v: P9 v/ q! j
  二、1923年日内瓦仲裁条款议定书及1927年日内瓦执行外国仲裁裁决公约在缔约国间,于其受本公约拘束后,在其受拘束之范围内不再生效。

  一、本公约在1958年12月31日以前听由任何联合国会员国及现为或嗣后成为任何联合国专门机关会员国或国际法院规约当事国之任何其他国家,或经联合国大会邀请之任何其他国家签署。
! p* |  T# @9 a! I: i  二、本公约应予批准。批准文件应送交联合国秘书长存放。  ?# U! K# r: V* F  ^' e
  第九条  g- y# n6 q7 D9 d7 C' F3 a# e1 N2 l1 h
  一、本公约听由第八条所称各国加入。
3 e+ T  K1 I* p( W7 E" V1 q1 W  二、加入应以加入文件送交联合国秘书长存放为之。
& m# s5 r. n6 g# t# C0 \  第十条9 y+ d# T5 L6 t- }8 J
  一、任何国家得于签署、批准或加入时声明将本公约推广适用于由其负责国际关系之一切或任何领土。此项声明于本公约对关系国家生效时发生效力。1 u8 y. v8 ^( i& K1 R# f& y- [
  二、嗣后关于推广适用之声明应向联合秘书长提出通知为之,自联合国秘书长收到此项通知之日后第90日起,或自本公约对关系国家生效之日起发生效力,此两日期以较迟者为准。
" o: H6 q) \. B9 g7 l; b  三、关于在签署、批准或加入时未经将本公约推广适用之领土,各关系国家应考虑可否采取必要步骤将本公约推广适用于此等领土,但因宪政关系确有必要时,自须征得此等领土政府之同意。7 D' ~& v* P# G, l! D- e
  第十一条8 S) t( m8 B: }  d+ Z7 E/ n
  下列规定对联邦制或非单一制国家适用之:
( N& f3 N$ \, I! g7 t4 b  (甲)关于本公约内属于联邦机关立法权限之条款,联邦政府之义务在此范围内与非联邦制缔约国之义务同;
2 F$ \, j" Q& ^5 U$ A7 F  (乙)关于本公约内属于组成联邦各州或各省立法权限之条款,如各州或各省依联邦宪法制度并无采取立法行动之义务,联邦政府应尽速将此等条款提请各州或各省主管机关注意,并附有利之建议;
6 I: `" x* @4 `: W4 R' J9 B  (丙)参加本公约之联邦国家遇任何其他缔约国经由联合国秘书长转达请求时,应提供叙述联邦及其组成单位关于本公约特定规定之法律及惯例之情报,说明以立法或其他行动实施此项规定之程度。+ e- g1 s  y8 C- o6 g0 D
  第十二条
- q& V& x/ c. Y2 m/ z  一、本公约应自第三件批准或加入文件存放之日后第90日起发生效力。
* i6 f* \1 u+ t6 j8 D4 p  二、对于第三件批准或加入文件存放后批准或加入本公约之国家,本公约应自各该国存放批准或加入文件后第90日起发生效力。
- m2 y* D# K; j- d+ o3 r% _2 g  第十三条5 @) h) o9 C, L' u3 k6 ~
  一、任何缔约国得以书面通知联合国秘书长宣告退出本公约。退约应于秘书长收到通知之日1年后发生效力。
# N8 P; v  U# @5 I  二、依第十条规定提出声明或通知之国家,嗣后得随时通知联合国秘书长声明本公约自秘书长收到通知之日1年后停止适用于关系领土。
3 m3 h+ N7 y( s$ C" ~6 d  三、在退约生效前已进行承认或执行程序之仲裁裁决,应继续适用本公约。- Q7 ^( [3 Q# U+ R5 [
  第十四条. ~0 |# j; a5 U4 u6 i
  缔约国除在本国负有适用本公约义务之范围外,无权对其他缔约国援用本公约。

  联合国秘书长应将下列事项通知第八条所称各国:9 s. T: V, z/ b+ D
  (甲)依第八条所为之签署及批准;

  (丙)依第一条、第十条及第十一条所为之声明及通知;2 \& p: z6 L/ F' }( A
  (丁)依第十二条本公约发生效力之日期;

1986年12月2日第六届全国人民代表大会常务委员会第十八次次会议通过,当日起施行。
$ [. f. D, E; e" `* x5 a( r9 x5 q% g1 n+ g& l# Q/ G- [
第六届全国人民代表大会常务委员会第十八次会议决定:
3 d7 U  k. O$ e( j6 n中华人民共和国加入《承认及执行外国仲裁裁决公约》,并同时声明:6 [4 ~9 J9 U% k& w
(一)中华人民共和国只在互惠的基础上对在另一缔约国领土内作出的仲裁裁决的承认和执行适用该公约;
! ]$ M/ u" ]* ~4 H# L7 B(二)中华人民共和国只对根据中华人民共和国法律认定为属于契约性和非契约性商事法律关系所引起的争议适用该公约。
